Terms and Conditions

Version 2026-10-15 · Effective [DATE] · Draft for legal review · Tiếng Việt

These Terms and Conditions ("Terms") are a binding agreement between you and [COMPANY], a company registered in Vietnam with business registration number [NUMBER] and address [ADDRESS] ("Superlytix", "we", "us"). They govern your use of the Superlytix.ai website, web app and the files it generates (the "Service").

By ticking "I agree" when you create an account, or by using the Service, you accept these Terms. If you use the Service for a company, you confirm that you are allowed to accept these Terms for it, and "you" includes that company. If you do not agree, do not use the Service.

Please read "Key points you confirm" below before you accept. They are the points most likely to matter to you, written in plain words. If you do not agree with any of them, do not tick "I agree". If you already have an Account and we change them, you can decline the new version and close your Account (section 15).

Key points you confirm

By accepting these Terms you confirm that you have read and agree to the following:

  1. Your files stay yours and are used only to build your reports. We do not publish, sell or share them, use them for our own purposes or train AI on them (section 5).
  2. Where your data goes. Your projects and files are stored on our servers at Railway in Singapore. Encrypted daily backups are kept for 14 days on Cloudflare R2; Cloudflare decides where those copies are physically stored, which may be outside Vietnam and Singapore. Summaries sent to the AI are processed by Anthropic in the United States. Payments are handled by Paddle (United Kingdom) and emails are sent through Resend (United States). You agree to these transfers of data outside Vietnam.
  3. What the AI sees (paid plans). Column names, types, counts and short summaries, never your rows. Values from columns that look like personal data (names, phone numbers, email addresses, street addresses, ID or tax numbers) are replaced by placeholders before anything is sent, including when they appear in your own requests or in the findings used for the PDF summary. If you switch off "Send value summaries", no value from your data is sent at all. Detection is automatic and can miss a column with an unusual name or format: remove such columns before uploading, or switch the summaries off.
  4. How long the AI provider keeps it. Anthropic deletes what we send within 30 days, except where it must keep it longer to enforce its usage policy (up to 2 years for requests its safety systems flag) or to meet the law. Under its commercial terms it does not use this data to train its models.
  5. Technical logs. Our hosting provider keeps technical logs for up to 30 days. They are not meant to contain your data, but an error message may occasionally include a column name or a value.
  6. You may upload the data. You have the right to upload your files and, for any personal data in them, a lawful basis and the notice or consent the law requires. If your files contain personal data of people in the European Union or the United Kingdom, contact us before uploading it: we do not yet sign the EU and UK Standard Contractual Clauses by default.
  7. Refunds end at the first download. By downloading a report you ask us to deliver it straight away, and that purchase can no longer be refunded, except where the law of your country gives you a right that cannot be waived (section 4.8 and the Refund Policy).
  8. Launch prices stay for as long as your subscription continues without a break; new subscriptions after the launch period pay the regular price (section 4.2).
  9. No system is completely secure. We protect your data with reasonable measures and keep improving them, but no website, server, network or AI service can be made completely secure, and we cannot guarantee that your data will never be accessed, lost, altered or disclosed without authorisation. You understand and accept this risk. Upload only the data your report needs, leave out sensitive data you do not need, and keep your own copies of your files (section 12).
  10. AI results can be wrong. You check the Output before relying on it, and our liability is limited as section 13 describes, to the extent the law allows.
  11. Language. These Terms are published in English and Vietnamese (section 17.3).
  12. Changes. We ask you to accept a new version before it applies to you; if you decline, you can close your Account and we refund the unused part of any prepaid subscription (section 15).

1. Definitions

2. The Service

2.1 Superlytix.ai reads the Excel and CSV files you upload, helps you describe your business and choose metrics, and generates a Power BI project (.pbip) you can download and open in Power BI Desktop, an Excel report (.xlsx) with the same pages as a snapshot of the numbers at download, and a PDF report with a business overview and insights computed from the same numbers (on paid plans with AI, the PDF's summary is written by the AI from those numbers).

2.2 Previews in the app are approximate. The downloaded Power BI project is the result you receive.

2.3 Features marked "In development" or "soon", such as database connections and extra team seats, are not part of the Service until we release them. Released features may follow additional terms that we will show you before you use them.

2.4 You need your own Power BI Desktop installation to open the Output. We do not provide Microsoft software.

2.5 Consulting. You can ask for consulting (help with data, custom reports, KPIs or training) through the form on our website. A request is free and does not commit you to anything. Any consulting work is agreed separately in a written quote that sets out its scope, price and terms; where that quote and these Terms differ, the quote prevails for that work. We handle the details you send in the form as described in the Privacy Policy.

3. Your Account

3.1 You must be at least 18 years old and able to enter a contract.

3.2 Give accurate information when you sign up and keep it up to date. Use a real email address you can access.

3.3 Keep your password secret. You are responsible for activity in your Account. Tell us at [email protected] straight away if you think someone else has accessed it.

3.4 An Account is for one person. Do not share logins. On Enterprise, the account owner can invite up to 5 team members; each team member has their own Account and login, shares the owner's projects and plan, and uses the same monthly project allowance. The owner can remove a team member at any time, and a team member can leave at any time; they keep their Account and the projects they made. Enterprise is for organisations: it requires a work email address, and team members must be employees or contractors of the owner's organisation using that organisation's email domain. You may not resell, sublicense or share Enterprise access or team seats with anyone outside your organisation; we may suspend a team that does.

4. Plans, payment and renewal

4.1 Our Plans at the date of this version:

PlanPrice (USD)Main limits
Free$0All steps with your data, no download; projects kept 3 days
Single Use$14.99 one-time (launch price; regular $20)One project: one Power BI download, one Excel report download and one PDF report download of its data; kept 3 days
Plus$39.99 per month or $399 per year (launch price; regular $59.99 per month)5 Power BI reports, 5 Excel reports and 5 PDF reports per month; extra projects $8 each (one more of each) once the allowance is used that month; projects kept 30 days
Pro$59.99 per month or $599 per year (launch price; regular $99.99 per month)10 Power BI reports, 10 Excel reports and 10 PDF reports per month; extra projects $6 each (one more of each) once the allowance is used that month; custom report design; projects kept 90 days
EnterpriseQuoted for your organisation; contact us (the price we agree is shown before you pay)The number of reports per month agreed with you (shared by the owner and team members); custom report design; the owner plus up to 5 team members sharing projects; projects kept until you delete them

New accounts answer a short welcome survey before their first project and receive one free Single Use credit for it, once per person and email inbox; we may withdraw free credits obtained with throwaway or duplicate accounts. Power BI, Excel and PDF are counted separately. Downloading a report you already downloaded again, in the same format and with the same data, does not count towards a monthly limit.

4.2 Launch prices: if you subscribe while launch prices are offered, you keep that price for as long as your subscription stays active without a break. Regular prices apply to new subscriptions after the launch period ends. The launch period starts on 20 October 2026 and lasts until we announce its end on our pricing page, at least 7 days in advance. The regular price shown next to a launch price is the price that applies to new subscriptions after the launch period. Waitlist codes: if you joined our waitlist before the launch, we email you a personal code that takes a further 10% off the launch price of any Plan or Single Use. A code works once, on one Account, has no cash value and cannot be combined with other offers; on a subscription the waitlist price stays for as long as the subscription stays active without a break.

4.3 Prices are in US dollars and exclude VAT and other taxes, which we add where the law requires.

4.4 Plus, Pro and Enterprise subscriptions renew automatically at the end of each month or year, at the price then in force, until you cancel. We charge the payment method on file at each renewal.

4.5 You can cancel at any time in Account → Manage billing. Cancelling stops the next renewal; you keep paid features until the end of the current period. If you change between Plus, Pro and Enterprise, the change applies straight away and the difference for the rest of the billing period is charged or credited pro rata. Unused project allowances do not roll over. Extra projects bought on Plus or Pro (priced at your plan's monthly price divided by its included projects) add to that calendar month only. A project counts once per format (Power BI, Excel or PDF), the first time it is downloaded in that format; downloading it again is free.

4.6 We will give you at least 30 days' notice by email before a price increase applies to your subscription. You can cancel before the new price takes effect.

4.7 Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle charges you, issues your invoices and collects and pays sales tax or VAT where it applies; its buyer terms apply to the purchase. We never see or store full card numbers.

4.8 Refunds. Our Refund Policy (superlytix.ai/refunds) forms part of these Terms. In short: a purchase is refunded in full until any report (Power BI, Excel or PDF) has been downloaded with it, and not after; a subscription renewal you cancel during its period is refunded pro rata for the unused days. When you download a report, you ask us to deliver it straight away and you accept that the purchase used for it can then no longer be refunded. This does not limit rights you have under the consumer law of your country that cannot be waived.

4.9 If a renewal payment fails, Paddle retries it; your plan stays active for 7 days after the period ends, then paid features pause until a payment succeeds. Your projects stay available for the retention period of your Plan.

5. Your data

5.1 You own your Customer Data and your Output. We claim no ownership of them.

5.2 You give us a limited, non-exclusive licence to host, copy, process and analyse Customer Data only to provide, secure and support the Service for you. We do not publish, sell or disclose Customer Data, do not use it for our own purposes, and do not use it to train AI models (see the Data Processing Agreement).

5.3 On paid plans the Service sends summaries of your data (column names, value counts and, for some columns, a limited list of values) to our AI provider to suggest and check your report. Values from columns that look like personal data (names, phone numbers, email addresses, street addresses, ID or tax numbers) are never sent: they are replaced by placeholders, also when they appear in your own requests or in the findings used for the PDF summary, and the real values are put back only on our side. If you switch off "Send value summaries", no value from your data is sent. Detection is automatic and may miss unusual columns. Details are in the Privacy Policy.

5.4 You confirm that you have the right to upload Customer Data, and that any personal data in it was collected lawfully and may be processed by us for this purpose. If you are a business uploading personal data of others, our Data Processing Agreement applies and forms part of these Terms. If your files contain personal data of people in the European Union or the United Kingdom, contact us before uploading it.

5.5 We keep projects for the period of your Plan (Free 3 days, Single Use 3 days, Plus 30 days, Pro 90 days, Enterprise until you delete them), counted from when the project is created or its Plan changes, plus any extra days you earn (for example by answering our surveys), and then delete them. We email you before a project is deleted. You can download your data and delete your Account at any time.

6. Acceptable use

You must not:

We may remove content or suspend Accounts that break this section, as described in section 11.

7. AI-generated results

7.1 The Service uses artificial intelligence to suggest plans, metrics, formulas and descriptions. We check suggestions against your data with our own rules, but they can still be wrong, incomplete or unsuitable for your business.

7.2 Review each metric with "Show logic" and check the Output before relying on it. You are responsible for decisions you make using the Output.

7.3 Output generated for you may be similar to output generated for other users, because similar data leads to similar reports.

8. Our intellectual property

The Service, our software, design, templates, theme files and brand (including the name Superlytix.ai and the logo) belong to us or our licensors. Apart from the rights in these Terms, we grant you no rights in them. You may use the theme and layout included in your Output as part of that Output, without restriction.

9. Feedback

If you send us ideas or suggestions, we may use them without any obligation to you.

10. Availability and changes to the Service

10.1 We aim to keep the Service available at all times but do not guarantee it. We may need to stop it for maintenance, security or reasons outside our control.

10.2 We may improve or change features. We will give you at least 30 days' notice before removing a paid feature you rely on, and if that materially reduces your Plan you may cancel and receive a pro-rata refund of prepaid fees.

11. Suspension and termination

11.1 You may stop using the Service and delete your Account at any time in Account settings.

11.2 We may suspend or close your Account, with notice where reasonable, if you seriously or repeatedly break these Terms, if your payment fails and is not fixed within 14 days, or if the law requires it.

11.3 When your Account ends, your right to use the Service ends and we delete your Customer Data as described in the Privacy Policy, except where the law requires us to keep it. Sections 5.1, 7, 8, 12, 13, 14 and 16 survive.

12. Warranties and disclaimers

12.1 The Service is provided "as is" and "as available". To the fullest extent the law allows, we make no other warranties, including fitness for a particular purpose or that the Service will be error-free. Nothing in these Terms limits rights you have as a consumer that cannot be limited by law.

12.2 Security. We take reasonable technical and organisational measures to protect Customer Data (described in the Data Processing Agreement) and we meet the duties the law places on us, including telling you and the authorities about a security incident. Beyond that, we do not promise that the Service, our providers or your data will be free from security incidents. No method of storing or sending data over the internet is completely secure, and attacks, errors or failures, including at our hosting, backup, AI or payment providers, can lead to data being accessed, lost, altered or disclosed without authorisation despite our measures. You understand and accept this risk when you upload data.

12.3 Your part. You decide what you upload. Upload only the data your report needs, remove or anonymise columns you do not need, and do not upload sensitive personal data unless your report truly requires it. The Service is not a storage or backup service: keep your own copies of your files and of the reports you download, because projects are deleted automatically at the end of your Plan's retention period and may also be lost through an incident.

13. Limitation of liability

13.1 To the fullest extent the law allows, our total liability arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or US$50 if you paid nothing.

13.2 We are not liable for indirect or consequential losses, including lost profits, lost revenue, lost data you did not keep a copy of, or business decisions made using the Output.

13.3 To the fullest extent the law allows, the limit in 13.1 also applies to all claims arising from a security incident, from unauthorised access to or loss of Customer Data, or from a failure of one of our service providers, provided we took the measures described in the Data Processing Agreement. We are not responsible for incidents caused by your own systems, devices or accounts, or by people you gave access to.

13.4 These limits do not apply to liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence. Where the law of your country does not allow a limit or exclusion in this section, it applies only to the extent the law allows.

14. Indemnity

If you use the Service for a business, you will compensate us for losses and reasonable costs from third-party claims arising from Customer Data you uploaded without the right to do so or from your breach of section 6.

15. Changes to these Terms

We may update these Terms. For material changes, we will email you and show the new version in the app at least 30 days before it applies, and ask you to accept it. If you do not accept, you may cancel and stop using the Service before the change takes effect: you can download your data and close your Account, and we refund the unused part of any prepaid subscription pro rata. The version you accepted and the date are kept with your Account.

16. Law and disputes

16.1 These Terms are governed by the laws of the Socialist Republic of Vietnam.

16.2 We will first try to resolve any dispute by good-faith negotiation within 30 days of written notice. If that fails, the dispute goes to the competent court in [CITY], unless mandatory consumer law gives you the right to bring it elsewhere.

17. General

17.1 You may not transfer these Terms without our consent. We may transfer them to a company that takes over the Service, and will tell you if we do.

17.2 If any part of these Terms is invalid, the rest stays in force. Not enforcing a right now does not waive it.

17.3 These Terms, the Privacy Policy and, where it applies, the Data Processing Agreement are the whole agreement between us about the Service. These Terms are published in English and Vietnamese. If the two versions differ, the Vietnamese version prevails for consumers in Vietnam where Vietnamese law requires it, and the English version prevails in every other case.
